Please read these Terms carefully before using the Inference Labs AI routing and evaluation platform. By accessing the Services, you agree to be bound by these Terms.
Last Updated: February 2025These Terms of Service ("Terms" or "Agreement") constitute a legally binding agreement between Inference Labs, Inc. ("Inference Labs," "Company," "we," "our," or "us"), a corporation organized and existing under the laws of the State of Delaware, United States, and you, the individual or legal entity accessing or using our Services ("User," "Customer," or "you").
By clicking "I agree," "Get Started," or a similar button or checkbox on our Platform, by completing the account registration process, by accessing or using the Services, or by otherwise manifesting your assent to these Terms, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
If you are accepting these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have the legal authority to bind that entity to these Terms, in which case the terms "you" and "Customer" will refer to that entity. If you do not have such authority, or if you do not agree with any provision of these Terms, you must not access or use the Services.
The Services are intended for use by individuals who are at least sixteen (16) years of age and by business entities. By accepting these Terms, you represent that you meet the minimum age requirement and have full legal capacity to enter into binding contracts. If you are under 18 years of age, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.
Inference Labs reserves the right to modify these Terms at any time. When we make material changes, we will notify you by email at least fourteen (14) days prior to the effective date of the new Terms, or by displaying a prominent notice within the Platform. Your continued use of the Services after the effective date of modified Terms constitutes your acceptance of the modifications. If you disagree with the modifications, your sole remedy is to discontinue use of the Services and terminate your account pursuant to Section 17.
Certain features of the Services, including but not limited to Enterprise plan access, custom data processing agreements, and service level agreements (SLAs), may be subject to additional terms and conditions. In the event of any conflict between these Terms and any additional terms, the additional terms will control with respect to the specific features or services they govern, unless explicitly stated otherwise.
Inference Labs provides an AI infrastructure platform offered as a software-as-a-service (SaaS) product that enables individuals and organizations to build, deploy, and optimize AI-powered applications. The core components of our Services include:
Our intelligent LLM routing layer enables you to send AI inference requests through a unified API endpoint, with automatic or configurable routing to one or more Upstream Providers (including OpenAI, Anthropic, Google, AWS Bedrock, and Azure OpenAI). Routing decisions can be configured to optimize for: minimum cost per token, minimum latency, maximum output quality (as assessed by our evaluation framework), highest availability, or any custom weighted combination of these factors. The routing layer provides a single API interface compatible with the OpenAI API standard, enabling drop-in replacement in existing applications.
The Inference Labs evaluation suite allows you to systematically assess and compare AI model performance across quality dimensions relevant to your use case. You can configure custom evaluation criteria, run structured benchmark suites, use built-in evaluation metrics (BLEU, ROUGE, semantic similarity, factual accuracy, instruction following), and track model performance over time. Evaluation results are presented in structured dashboards that enable data-driven model selection decisions.
Our platform provides real-time and historical cost analytics at the workspace, project, and individual API call level. Cost dashboards display token consumption, provider pricing, spending trends, and forecasts. You can set usage alerts and spending limits to prevent unexpected API credit consumption.
The data refinement module provides tooling for preparing, cleaning, annotating, and curating training datasets for AI model fine-tuning workflows. Features include: AI-assisted annotation and labeling; quality filtering and deduplication; format conversion and dataset versioning; integration with major fine-tuning workflows; and export in standard formats (JSONL, CSV, Parquet).
When enabled, the trace logging feature captures the full input-output history of API calls through our router, enabling debugging, quality assurance, and audit workflows. Trace data is stored in encrypted, workspace-isolated storage and subject to configurable retention windows as described in our Privacy Policy.
Inference Labs may add, modify, or remove features of the Services from time to time at our discretion. We will provide reasonable advance notice of material changes that may adversely affect your use of the Services. We reserve the right to discontinue specific features or integrations with reasonable notice, and your continued use of the Services constitutes acceptance of any such modifications.
To access the Services, you must create an account on the Inference Labs platform. By registering, you represent and warrant that all information you provide is accurate, current, and complete, and you agree to keep this information updated throughout your use of the Services.
To register for an account, you must provide a valid email address, create a secure password or connect a supported OAuth identity provider (Google or GitHub), and agree to these Terms and our Privacy Policy. If you are registering on behalf of a business entity, you must also provide the entity name and may be asked to provide a business email domain. You must be at least sixteen (16) years of age to register.
You are solely responsible for maintaining the confidentiality and security of your account credentials, including your password and any API keys generated under your account. You agree to: use a strong, unique password that is not reused from other services; enable two-factor authentication (2FA) on your account (strongly recommended); safeguard all API keys and never embed them in publicly accessible code, client-side applications, or version control systems; immediately notify Inference Labs at [email protected] if you become aware of any unauthorized access to your account, any compromise of your credentials, or any loss of an API key; and promptly revoke any API keys that may have been compromised and generate replacement keys.
You are responsible for all activities that occur under your account, including all API calls made using API keys associated with your account, all charges incurred, and all data transmitted through your account, regardless of whether such activities were authorized by you. Inference Labs is not liable for any loss or damage arising from unauthorized use of your account where such unauthorized use results from your failure to maintain adequate security of your credentials.
You agree not to impersonate any person or entity, misrepresent your affiliation with any person or entity, or provide false information during registration or at any time while using the Services. Accounts created with false or misleading information may be suspended or terminated without notice.
The Platform supports collaborative workspaces where multiple users can be invited to share access to projects, API configurations, and trace data. The account owner who creates a workspace is the "Workspace Administrator" and bears responsibility for the actions of all users within that workspace. Workspace Administrators must ensure that all team members added to a workspace have agreed to these Terms and are authorized to use the Services.
Inference Labs offers the Services under a tiered subscription model. Each tier provides access to different features and a designated allocation of API credits per billing period. The following plan tiers are available (specific pricing is available at inference-labs.com/pricing and is subject to change):
| Plan | Target User | Key Features |
|---|---|---|
| Free Trial | Developers and individuals evaluating the platform | Limited API credits, access to core routing features, 1 workspace, community support |
| Starter | Small teams and early-stage projects | Monthly credit allocation, multiple workspaces, trace logging, basic evaluation suite, email support |
| Professional | Growing teams and production applications | Higher credit allocation, advanced evaluation, data refinement module, priority support, extended metadata retention |
| Enterprise | Large organizations with enterprise requirements | Custom credit volume, dedicated infrastructure options, custom SLA, SSO, DPA, SOC 2 documentation, dedicated customer success |
You may upgrade your subscription plan at any time. Upgrades take effect immediately, and you will be charged a prorated amount for the remainder of the current billing cycle. Downgrades take effect at the start of the next billing cycle. Inference Labs reserves the right to modify plan features, credit allocations, and pricing with reasonable advance notice. Where a modification materially reduces your allocated credits or removes a feature your current use relies on, we will provide at least thirty (30) days advance notice before the change applies to your account.
Free Trial accounts are provided for evaluation purposes. Free Trial accounts are limited to one per individual or organization. Inference Labs may verify the uniqueness of Free Trial accounts by email domain, payment method fingerprint, or other means. Creating multiple Free Trial accounts to circumvent credit limitations is a violation of these Terms and may result in account suspension. Free Trial credits do not roll over and expire at the end of each calendar month.
Enterprise plan terms are subject to a separately negotiated Order Form and, where applicable, a Master Services Agreement (MSA) between Inference Labs and the Customer. In the event of any conflict between these Terms and an applicable Enterprise Order Form or MSA, the Order Form or MSA will control.
Paid subscription plans are billed on a recurring monthly or annual basis, as selected at the time of purchase. By subscribing to a paid plan, you authorize Inference Labs, through our payment processor Stripe, Inc., to charge your designated payment method for the applicable subscription fee on each billing cycle.
Monthly subscriptions renew automatically on the same calendar date each month (or the last day of the month if the original date does not exist in the renewal month). Annual subscriptions renew automatically on the anniversary of the original subscription start date. You will receive an email reminder at least seven (7) days before your annual subscription renews. You may cancel auto-renewal at any time through your account billing settings, effective at the end of the current billing period.
We accept major credit and debit cards (Visa, Mastercard, American Express, Discover) and ACH bank transfers for Enterprise customers. All payment processing is handled by Stripe, Inc., and is subject to Stripe's terms of service and privacy policy. Inference Labs does not store full payment card numbers on our servers. By providing your payment method, you represent that you are authorized to use that payment method and that the billing information you provide is accurate.
If a payment fails for any reason, Inference Labs will attempt to charge the payment method again within three (3) business days. If the payment continues to fail, your account may be downgraded to a limited access state or suspended. You will be notified by email before any suspension occurs. Access to your data will be maintained for at least thirty (30) days after a payment failure to allow you to update your payment method or export your data.
All fees quoted and charged by Inference Labs are exclusive of any applicable taxes, levies, duties, or similar governmental assessments, including sales tax, value-added tax (VAT), goods and services tax (GST), or similar taxes (collectively, "Taxes"). You are responsible for paying all Taxes associated with your purchase of the Services, except for taxes based on Inference Labs' net income. Where Inference Labs is required by law to collect and remit Taxes on your behalf, the applicable Tax amount will be added to your invoice.
All payments are final and non-refundable. This applies to subscription fees, prepaid balance and account top-ups alike, and reflects standard practice for prepaid AI inference services. Balance is consumed as you use the Services and has no cash value.
Downgrading or cancelling a subscription does not entitle you to a refund for the remainder of the current billing period. Balance already granted remains available to you; future grants stop when the paid entitlement ends.
Raising a card chargeback instead of contacting us first will result in the disputed balance being reversed and paid actions on your account being suspended until the matter is resolved. Your data remains readable throughout any such suspension.
Inference Labs may modify its pricing for subscription plans with at least thirty (30) days advance notice. Price changes will be communicated by email and by displaying a notice within the Platform. Your continued use of the Services after the effective date of a price change constitutes your acceptance of the new pricing. If you do not accept the new pricing, you may cancel your subscription before the effective date of the change.
API Credits are the unit of account used by the Inference Labs platform to measure and track consumption of AI inference services routed through our platform. This section describes how API Credits work, how they are consumed, and the terms that apply to them.
API Credits represent a pre-purchased or subscription-allocated quantity of inference capacity on the Inference Labs platform. Each credit corresponds to a defined unit of value that maps to the cost of routing AI inference requests to Upstream Providers, plus the Inference Labs platform fee. Credits are denominated in U.S. dollars at a defined exchange rate published on our pricing page. One (1) API Credit is equivalent to USD /usr/bin/bash.001 unless otherwise specified in your subscription agreement or on the pricing page.
API Credits are consumed with each inference request routed through the Inference Labs platform. The number of credits consumed per request is calculated based on: the number of input tokens in the request; the number of output tokens generated by the model; the specific Upstream Provider and model selected; the current provider pricing applied at time of request; and the applicable Inference Labs platform margin. Real-time credit consumption is displayed in your usage dashboard. You may set usage alerts and hard spending limits within your account settings to prevent unexpected credit depletion.
Paid subscription plans include a monthly or annual credit allocation as specified in the plan description. Credits are allocated at the beginning of each billing period. Additional credits may be purchased at any time through the billing section of your account dashboard. Credits purchased as add-ons are charged immediately and added to your available credit balance.
API Credits have no cash value and cannot be exchanged for money, transferred to another account, or redeemed for any purpose other than consuming Inference Labs Services. Credits included in subscription plans are not separately refundable and are forfeited if not used within the applicable validity period. This limitation does not apply to credits purchased as standalone add-ons if you terminate your account within 30 days of purchase and fewer than 50% of those credits have been consumed, in which case a prorated refund may be issued at Inference Labs' discretion.
Monthly subscription credits that are not consumed within the applicable billing month are forfeited and do not roll over to the following month, except for Professional and Enterprise plans where up to twenty percent (20%) of unused monthly credits may roll over to the following month (with a maximum carry-forward balance not to exceed one additional monthly allocation). Annual plan credits that are not consumed within the twelve-month subscription year are forfeited at renewal. Purchased add-on credits are valid for twelve (12) months from the date of purchase.
Your use of the Inference Labs platform is subject to this Acceptable Use Policy ("AUP"). By using the Services, you agree not to use the Services in any manner that is prohibited by these Terms or applicable law. The restrictions below are not exhaustive, and Inference Labs reserves the right to take action against any use that we determine, in our sole discretion, to be harmful, abusive, or contrary to the spirit of these Terms.
You may not use the Services to generate, distribute, store, or facilitate:
You are solely responsible for the prompts you submit through our platform and the outputs you receive and deploy. Inference Labs is not responsible for the content of AI-generated outputs produced by Upstream Providers. You acknowledge that AI-generated outputs may be inaccurate, biased, offensive, or otherwise problematic, and you agree to implement appropriate human review mechanisms before deploying AI-generated content in production applications that could affect individuals.
You agree not to use the Services as a primary or sole decision-making system in high-risk contexts including: clinical medical diagnosis or treatment without appropriate human oversight; autonomous control of safety-critical infrastructure; automated criminal or judicial sentencing systems; or any other application where an error in AI output could result in death, bodily injury, significant financial harm, or violation of civil rights, without implementing appropriate human review, safeguards, and fallback mechanisms.
Inference Labs reserves the right to investigate any suspected violation of this AUP and to take any action we deem appropriate, including issuing warnings, suspending or terminating accounts, removing content, reporting to law enforcement, and pursuing civil or criminal liability. We may also cooperate with law enforcement authorities in connection with any investigation of suspected illegal activity.
The Inference Labs platform routes inference requests to third-party AI model providers ("Upstream Providers") on your behalf. Your use of our routing services is subject not only to these Terms but also to the terms of service, usage policies, and content policies of each Upstream Provider whose models you access through our platform.
Before routing requests to any Upstream Provider through the Inference Labs platform, you agree to review and comply with that provider's applicable terms of service, acceptable use policies, and content policies. These are independent agreements between you and the Upstream Provider, and Inference Labs is not a party to them. Your key obligations include:
Inference Labs acts as a technical intermediary and API routing layer between you and Upstream Providers. We do not independently evaluate the compliance of each individual request you send through our platform with Upstream Provider terms. You acknowledge that Upstream Providers may independently monitor API usage for compliance with their terms and may suspend or restrict access to their models based on their own policies, independent of any action by Inference Labs.
Inference Labs may suspend or terminate your access to routing for a specific Upstream Provider if we receive notice from that provider of a violation of their terms, or if we independently determine that your use of a provider integration is in violation of their applicable terms. Suspension of access to a specific provider integration does not automatically terminate your overall Inference Labs account unless the violation also constitutes a breach of these Terms.
Inference Labs may add, modify, or remove integrations with Upstream Providers at any time. If a provider discontinues their API, significantly changes their terms in ways that affect our ability to route to them, or if we determine for any other reason that a specific integration is no longer viable, we will remove or modify that integration with reasonable notice to affected users. Such changes do not constitute a breach of these Terms and do not entitle you to a refund of unused credits, except at our discretion.
The collection, use, and protection of your personal data in connection with the Services is governed by our Privacy Policy, which is incorporated into these Terms by reference. This section provides an overview of key data-related terms that are particularly relevant from a contractual perspective.
As between you and Inference Labs: (a) you retain all rights, title, and interest in and to the data you input to the Services, including prompts, datasets, training data, and any other content you provide ("Your Content"); (b) you retain all rights in the AI-generated outputs produced in response to your inputs, subject to the terms of the applicable Upstream Provider; and (c) Inference Labs retains all rights in and to the platform, its infrastructure, algorithms, routing logic, evaluation frameworks, and any aggregated or de-identified data derived from platform usage that does not contain or identify Your Content.
As described in our Privacy Policy, Inference Labs does not persistently store the content of your API request payloads (prompts and responses) by default. If you enable trace logging in your workspace, you acknowledge and agree that: (a) prompt and response content will be captured and stored in encrypted, workspace-isolated storage; (b) such trace data is subject to the retention settings you configure, with a default of thirty (30) days; (c) Inference Labs will not access your trace data except in the limited circumstances described in the Privacy Policy; and (d) you are responsible for ensuring that your use of trace logging complies with applicable data protection law, including obtaining any necessary consents from individuals whose personal data may be included in logged prompts.
Inference Labs offers an optional PII Detection and Redaction feature that identifies and anonymizes common categories of personally identifiable information in prompt content before it is forwarded to Upstream Providers. By enabling this feature, you acknowledge that: (a) the redaction system uses pattern-matching heuristics and may not detect all PII categories or instances; (b) Inference Labs does not guarantee that the feature will identify every piece of PII in every request; and (c) the feature is a helpful safeguard but is not a substitute for your own responsibility to minimize the personal data transmitted through your applications.
If you process personal data of EU/EEA residents through the Inference Labs platform as a data controller and require Inference Labs to act as your data processor within the meaning of the GDPR, you may request a Data Processing Agreement (DPA) by contacting [email protected]. The DPA will govern the terms under which Inference Labs processes personal data on your behalf and will supplement these Terms. Enterprise plan customers may have a DPA included in their Order Form.
The Inference Labs platform, including its software, user interface, design, architecture, algorithms, routing logic, evaluation frameworks, documentation, trademarks, service marks, logos, and all other intellectual property embodied therein, is and remains the exclusive property of Inference Labs, Inc. and its licensors. These Terms do not grant you any ownership interest in the platform or any of its components. Any rights not expressly granted in these Terms are reserved by Inference Labs.
Subject to your compliance with these Terms and payment of applicable fees, Inference Labs grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to: (a) access and use the Services through our web application and API during your subscription term; (b) integrate the Inference Labs API into your applications solely for the purpose of consuming AI inference services through our routing layer; and (c) use our official client libraries and SDKs in accordance with their applicable open-source licenses.
You retain all intellectual property rights in Your Content (your input prompts, datasets, and content you create). By submitting Your Content to the Services, you grant Inference Labs a limited, non-exclusive, royalty-free license to process, store, transmit, and use Your Content solely to the extent necessary to provide the Services to you. This license does not permit Inference Labs to use Your Content for any purpose outside of delivering the Services, including for training AI models, except as described in Section 3.3 of our Privacy Policy. Subject to applicable Upstream Provider terms, you are the owner of AI-generated outputs produced in response to your prompts, and you may use such outputs for any lawful purpose.
If you provide any suggestions, ideas, feature requests, bug reports, or other feedback relating to the Services ("Feedback"), you grant Inference Labs a perpetual, irrevocable, worldwide, royalty-free, fully paid-up license to use, reproduce, modify, distribute, and incorporate such Feedback into our products and services without any obligation to compensate you or attribute the Feedback to you. You represent that you have the right to provide such Feedback and that it does not contain any third-party proprietary information.
You may not use the Inference Labs name, logo, or trademarks in any manner that could imply Inference Labs endorsement of your products or services, that could be confused with the Inference Labs brand, or that is otherwise contrary to our trademark guidelines. Requests to use Inference Labs branding for case studies, partner announcements, or press releases must be submitted to [email protected] for prior written approval.
The Inference Labs platform integrates with third-party services to deliver its functionality. This section describes the nature of those integrations and the terms that apply.
Your use of Upstream Provider integrations is subject to each provider's own terms of service. Inference Labs is not responsible for: the accuracy or quality of AI-generated outputs by Upstream Providers; changes in Upstream Provider pricing affecting credit costs; service disruptions or degraded performance of Upstream Provider APIs; or changes in model capabilities, context windows, or parameters. We will make commercially reasonable efforts to communicate material provider changes to users.
Billing is handled by Stripe, Inc. Your use of Stripe's services is subject to Stripe's terms of service at stripe.com/legal. By providing payment information, you authorize Inference Labs to instruct Stripe to charge your payment method per your subscription.
If you authenticate using Google Sign-In or GitHub OAuth, your use of those methods is subject to the respective provider's terms and privacy policy. Inference Labs is not responsible for the availability, accuracy, or security practices of third-party identity providers.
Integration of a third-party service in our platform does not constitute endorsement of that provider or their services. Any disputes between you and a third-party provider are solely between you and that provider.
If you access the Services programmatically via our API, the following additional terms apply to your use of the Inference Labs API.
API keys grant programmatic access to the Services under your account and must be kept strictly confidential. You agree that: API keys must not be embedded in client-side code or browser JavaScript; API keys must not be committed to version control repositories without proper secret management tooling; if a key is suspected of compromise, you will revoke it immediately and generate a replacement; and you will implement appropriate technical controls (environment variables, secrets managers) to protect API keys in production environments.
The Services are subject to rate limits that vary by subscription plan, documented at inference-labs.com/docs. These limits ensure fair access for all users and protect platform stability. Inference Labs reserves the right to modify rate limits at any time. Contact [email protected] or upgrade your plan if you require higher limits.
The Inference Labs API follows semantic versioning principles. We maintain backwards compatibility within a major API version. When introducing a new major version with breaking changes, we will provide at least ninety (90) days advance notice and maintain the prior version for at least ninety (90) days following the new release. You are responsible for monitoring our changelog and updating your integrations in a timely manner.
You agree to: access the API only through documented endpoints and parameters; include a valid API key with each request; implement appropriate retry logic with exponential backoff for temporary errors; and not send requests at rates exceeding your applicable rate limits. Repeated rate limit violations or sending malformed requests at scale may result in temporary or permanent suspension of API access.
Inference Labs targets a platform availability of 99.9% monthly uptime for the core API routing service for paid subscribers (Starter, Professional, and Enterprise plans). "Uptime" is defined as the percentage of time in a calendar month during which the Inference Labs API routing endpoint is accessible and responsive, excluding Scheduled Maintenance, Force Majeure events, and unavailability caused by Upstream Provider outages. Free Trial plan availability is offered on a best-effort basis without an uptime commitment.
Inference Labs may perform scheduled maintenance that temporarily affects platform availability. We will provide at least twenty-four (24) hours advance notice of scheduled maintenance windows by email and by posting a notice on our status page at status.inference-labs.com. Scheduled maintenance will be performed outside of peak usage hours (generally between 02:00 and 06:00 UTC on weekdays) wherever possible.
If the platform fails to meet the 99.9% monthly uptime target for your paid plan (excluding excepted events), you may request a service credit of: 10% of your monthly subscription fee for availability between 99.0% and 99.9%; and 25% of your monthly subscription fee for availability below 99.0%. Credits must be requested by email to [email protected] within fifteen (15) days of the end of the affected month. Service credits are the sole and exclusive remedy for availability failures, are applied against future invoices, and have no cash value.
Inference Labs will not be liable for any failure or delay in performance of the Services caused by circumstances beyond our reasonable control, including acts of God, natural disasters, pandemic, war, terrorism, government action, civil unrest, power failures, internet service provider failures, Upstream Provider outages, DDoS attacks, or other force majeure events. We will notify you promptly of any such event and will make commercially reasonable efforts to restore normal service as quickly as possible.
PLEASE READ THIS SECTION CAREFULLY. IT CONTAINS IMPORTANT LIMITATIONS ON INFERENCE LABS' LIABILITY AND WARRANTIES. THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INFERENCE LABS EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:
You acknowledge and agree that: (a) AI models are probabilistic systems that produce outputs which may be inaccurate, incomplete, biased, outdated, offensive, or otherwise unreliable; (b) Inference Labs does not review, validate, or warrant the accuracy or appropriateness of AI-generated outputs produced by Upstream Providers; (c) you are solely responsible for evaluating the accuracy and appropriateness of AI-generated outputs before relying on them or deploying them in applications; and (d) AI outputs should not be used as the sole or primary basis for consequential decisions without appropriate human oversight and independent verification.
From time to time, Inference Labs may offer features designated as "beta," "preview," "early access," or "experimental." Such features are provided without warranty of any kind and may be modified, suspended, or discontinued at any time. Beta features may contain bugs, produce unexpected outputs, or become unavailable without notice. Your use of beta features is at your own risk.
THIS SECTION CONTAINS IMPORTANT LIMITATIONS ON INFERENCE LABS LIABILITY. PLEASE READ CAREFULLY.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL INFERENCE LABS, INC., ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY:
...ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES, HOWEVER CAUSED, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF INFERENCE LABS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INFERENCE LABS' TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, REGARDLESS OF THE FORM OR NATURE OF THE CLAIM, WILL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNTS YOU ACTUALLY PAID TO INFERENCE LABS FOR THE SERVICES DURING THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE DATE ON WHICH THE CLAIM AROSE; OR (B) ONE HUNDRED U.S. DOLLARS (USD 00.00).
The parties acknowledge that the limitations of liability in this Section 15 are an essential element of the basis of the bargain between Inference Labs and you. These limitations apply even if any limited remedy set forth in these Terms is found to have failed of its essential purpose. Inference Labs would not have entered into this Agreement without these limitations.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the limitations above may not apply to you. In such jurisdictions, Inference Labs' liability will be limited to the fullest extent permitted by applicable law. Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, death, or personal injury caused by negligence, or any other liability that cannot be excluded or limited by applicable law.
You agree to defend, indemnify, and hold harmless Inference Labs, Inc. and its directors, officers, employees, agents, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and legal costs) arising out of or relating to:
Inference Labs reserves the right to assume the exclusive defense and control of any matter for which you are required to indemnify us, at your expense, and you agree to cooperate with our defense of such claims. You may not settle any claim that imposes any obligation or liability on Inference Labs without our prior written consent.
You may terminate your account and these Terms at any time by: navigating to your account settings and initiating account deletion; or contacting us at [email protected] with a request to close your account. Account deletion takes effect within five (5) business days of your request. Your subscription will not auto-renew after account deletion. No refunds are issued for any remaining subscription period upon voluntary termination, except as described in Section 5.5.
Inference Labs reserves the right to suspend or terminate your account and access to the Services, with or without notice, in the following circumstances: (a) you materially breach these Terms or the Acceptable Use Policy and fail to cure such breach within ten (10) days of receiving written notice (or immediately for violations that cannot be cured, such as CSAM violations); (b) we are required to do so by law or by a competent regulatory authority; (c) continued provision of Services to you would expose Inference Labs to legal liability, reputational harm, or regulatory risk; (d) you fail to make a timely payment for paid Services and do not cure the failure within fifteen (15) days of notice; or (e) we reasonably determine that your use of the Services poses a security risk to the platform or other users.
Upon termination of your account for any reason, Inference Labs will provide you with a data export window of thirty (30) calendar days during which you may access your account in a read-only capacity for the purpose of exporting your data, including workspace configurations, API call metadata, trace data (if enabled), and evaluation results. After this thirty-day window, your data will be deleted in accordance with our data retention policy as described in our Privacy Policy. We strongly recommend exporting all data you wish to retain before submitting an account deletion request or if you have reason to believe your account may be subject to termination.
Upon the expiration of your account and the data export window, the license granted to you under these Terms will automatically terminate. All outstanding payment obligations for Services consumed prior to termination remain due and payable. Sections 9, 10, 14, 15, 16, 17, 18, 19, and 20 of these Terms shall survive termination of these Terms and continue in full force and effect.
These Terms and any dispute, claim, or controversy arising out of or relating to these Terms, including their validity, interpretation, breach, termination, or the Services provided hereunder, shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflicts of law principles that would require application of the laws of any other jurisdiction.
Subject to the arbitration agreement in Section 19, you consent to the exclusive personal jurisdiction of the state and federal courts located in the State of Delaware, United States, for the resolution of any disputes not subject to arbitration. You waive any objection to the laying of venue of any such proceeding in Delaware, and waive any objection that Delaware is an inconvenient or improper forum.
If you are accessing the Services from a jurisdiction that mandates the application of local consumer protection laws or other mandatory statutory rights that cannot be waived by contract, nothing in these Terms limits or restricts your ability to exercise those mandatory statutory rights. However, to the maximum extent permitted by applicable law, the procedural aspects of any dispute resolution, including arbitration, shall be governed by these Terms.
IMPORTANT: THIS SECTION CONTAINS A BINDING ARBITRATION CLAUSE AND CLASS ACTION WAIVER THAT AFFECT YOUR LEGAL RIGHTS. PLEASE READ CAREFULLY BEFORE USING THE SERVICES.
Before initiating any formal dispute resolution proceeding, you agree to first contact Inference Labs at [email protected] with a written description of the dispute, including your name, account email address, a description of the nature of the dispute, and the resolution you are seeking. Inference Labs will attempt to resolve the dispute informally within thirty (30) calendar days of receiving your notice. If the dispute is not resolved informally within this period, either party may proceed to formal dispute resolution as described below. This informal resolution requirement does not apply to claims for emergency injunctive or other equitable relief needed to prevent immediate harm.
If informal resolution fails, all disputes, claims, or controversies arising out of or relating to these Terms, the Services, or our relationship (collectively, "Disputes") shall be resolved by final and binding individual arbitration, rather than in court. Arbitration will be conducted by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules (for individual consumers) or Commercial Arbitration Rules (for business entities), as applicable, which are available at adr.org. The arbitration will be conducted in the English language, and the arbitrator's decision will be final and binding, subject to limited judicial review as permitted by the Federal Arbitration Act (FAA), 9 U.S.C. Section 1 et seq., which governs the interpretation and enforcement of this arbitration provision.
The seat of arbitration shall be the State of Delaware, United States. For disputes involving claims of 5,000 USD or less, arbitration will be conducted via written submissions (documents only), by telephone, or by videoconference, at the election of the claimant. For disputes involving claims exceeding 5,000 USD, the arbitration will be conducted in-person in Delaware or at another mutually agreed location. The arbitrator has the authority to award any remedy available at law or in equity, including injunctive relief and attorneys' fees and costs where applicable law permits such an award.
YOU AND INFERENCE LABS EACH WAIVE ANY RIGHT TO A JURY TRIAL IN CONNECTION WITH ANY DISPUTE ARISING UNDER THESE TERMS. YOU AND INFERENCE LABS ALSO AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION OR PROCEEDING. The arbitrator may not consolidate more than one person's claims, and may not otherwise preside over any form of a class, representative, or consolidated proceeding. If this class action waiver is found to be unenforceable, then the entirety of the arbitration provision shall be null and void.
Notwithstanding the foregoing, either party may bring an individual action in small claims court if the action is within that court's jurisdiction and the amount in controversy does not exceed that court's jurisdictional limit, provided the matter remains in small claims court and is not removed to another court.
If you are an individual (not a business entity), you have the right to opt out of the binding arbitration provision and class action waiver within thirty (30) days of the date you first accepted these Terms by sending written notice to [email protected] with the subject line "Arbitration Opt-Out." Opting out of arbitration does not affect your agreement to any other provisions of these Terms.
These Terms, together with our Privacy Policy, any applicable Order Form, Data Processing Agreement, or Master Services Agreement, constitute the entire agreement between you and Inference Labs with respect to the Services and supersede all prior and contemporaneous agreements, representations, warranties, and understandings, whether written or oral, relating to the subject matter of these Terms. No prior drafts of these Terms shall be used in the interpretation or construction of these Terms.
If any provision of these Terms is held by a court of competent jurisdiction or arbitrator to be invalid, illegal, unenforceable, or in conflict with any applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, or if it cannot be so modified, it shall be severed from these Terms. The remainder of these Terms shall remain in full force and effect and shall be construed as if the invalid, illegal, or unenforceable provision had never been included.
No failure or delay by Inference Labs in exercising any right, power, or remedy under these Terms shall operate as a waiver of that right, power, or remedy. No single or partial exercise of any right, power, or remedy shall preclude any other or further exercise of that right, power, or remedy or the exercise of any other right, power, or remedy. Any waiver by Inference Labs must be in writing and signed by an authorized representative of Inference Labs to be effective.
You may not assign or transfer these Terms, or any of your rights or obligations hereunder, without the prior written consent of Inference Labs. Any purported assignment in violation of this provision is null and void. Inference Labs may assign or transfer these Terms, in whole or in part, without restriction or consent, including in connection with a merger, acquisition, corporate reorganization, sale of all or substantially all of its assets, or operation of law. Any permitted assignment of these Terms shall be binding upon and inure to the benefit of the parties and their respective heirs, executors, administrators, successors, and permitted assigns. These Terms shall inure to the benefit of and be binding upon each party's permitted assigns.
All notices to Inference Labs under these Terms must be provided in writing and delivered by email to [email protected]. Notices to you will be delivered to the email address associated with your account. Notices are effective upon confirmation of delivery, or, if sent by email without delivery failure notification, within twenty-four (24) hours of sending.
The relationship between you and Inference Labs is that of independent contractors. Nothing in these Terms shall be construed to create a partnership, joint venture, agency, employment, or fiduciary relationship between the parties. Neither party has any authority to bind the other or to incur any obligation on the other's behalf.
